Composing a Board needs more thought

Stock conceptions of directors and their roles are rapidly being overhauled

Composing a board of directors is becoming a much more thoughtful process. According to a new McKinsey quarterly report ("The view from the boardroom"), rigid adherence to governance codes is becoming less of an obsession . Boards feel they are now able to think more expansively, and there are some interesting new ideas about what boards are for, and therefore how to staff them.


According to McKinsey authors Robert Felton and Pamela Fritz, "new energy is stirring in corporate boards, after years when accounting scandals and charges of inadequate governance put them on the defensive. Now they are looking to step up their engagement with core areas of corporate performance and value creation."
