It has a lot of well-meaning, mostly theoretical, legalistic, jargon-filled instructions. It is very hard to use in real, pragmatic board workflow. Let’s face it: board materials are shipped to directors typically a week in advance. Many times they are hastily reviewed on the airplane ride to the meeting. Then we find that there are addenda, modifications, and changes. All issues are to be reviewed, assimilated, and understood before words of wisdom and advice can come pouring out of coffee-stained lips. Meanwhile, our minds meander to the golf game to follow.
