Expert favours disqualification sanctions for directors who fail in duty of care


The Corporate Governance Code has just been revised with tighter rules now in place.

But one expert says companies should conform not just to the form of the code but also to its substance.

NUS Associate Professor Mak Yuen Teen believes that directors who fail in their duty of care should be disqualified from serving in that capacity.

This, he says, is one way of raising the standard of corporate governance.

In launching his book entitled "From Conformance to Performance", Professor Mak says that accountability of directors is a key issue in corporate governance.
