Board effectiveness and shareholder engagement


RREV’s 2005 post-season report on board effectiveness is primarily a qualitative analysis relating to FTSE All-Share companies.

It looks at trends in corporate governance arrangements at companies, including changes introduced in response to the revised Combined Code, which was published in July 2003.

RREV’s report takes into account the provisions of the Code itself and related guidance such as the Smith guidance on audit committees, and various pieces of good practice guidance from the Higgs report.

Listed companies are required to report on how they have applied the principles of the Code, and either to confirm that they have complied with the Code's provisions or – where they have not – to provide an explanation. RREV’s report features a wide range of case studies to illustrate how RREV analysts consider companies on a case-by-case basis and respect the ‘comply or explain’ principle of the Combined Code.
