The 2006 DIRECTORS' COLLEGE, Fundamentals of Superior Corporate Governance & Board Service, examines the impact that regulatory changes have had, and continue to have, on legal, fiduciary, and ethical responsibilities and liabilities of board mem-bers. Six years ago, before Sarbanes-Oxley was enacted, theTerryCollege and the National Association of CorporateDirectors partnered to create this two-day, ISS-accreditedprogram for board members and senior executives thatexplores best practices in corporate governance and providespractical insights into how to handle today's boardroom chal-lenges. Through case studies and interaction between facultyand other board members and executives, participants learnthe fundamental roles and responsibilities of the board and itscommittees, methods for evaluating financial health and per-formance, and practical ways of implementing new regulatoryrequirements.
