Abstract:
Because of the very nature of their position and assigned duties, directors at public companies are increasingly becoming the target of lawsuits. These suits stem from a number of sources including investors, regulatory bodies such as the SEC, and company employees. In response to the growing threat, board members as a group have spent a great deal of time pondering the reasons for these suits as well as ways to mitigate their own personal risk.
