Spencer Stuart US Board Index 2010


The Spencer Stuart Board Index is an annual study that examines the state of corporate governance among the S&P 500. The 2010 index, the 25th edition, includes information on a host of issues including board size and composition, governance practices and processes and compensation as well as striking contrasts between this year’s study and the 1986 edition including:

* Board size and independence: In 1986 the average board size was 15, today boards average 11 members.
* Board Leadership: The 1986 index made no mention of splitting the CEO/Chairmen role. Today more than 40% of boards split the chair and CEO roles, and 19% of chairs are truly independent.
* Meetings: Contrary to popular belief that boards are meeting more often than ever, the median number of board meetings 25 years ago was 11. Now it is eight.
* Compensation: The average board retainer in 1986 was just over $20,000. In 2010, it is nearing $80,000.
