Risky days for outside directors


Want a part-time job that pays well and can offer interesting perks? Become a corporate director.

At Red Robin Gourmet Burgers Inc., the annual cash retainer for members of the board of directors is $25,000, and these so-called outside directors -- they aren't otherwise employed by the company -- can dine for free at any of the Colorado-based burger joint's 300 restaurants. At General Electric Co., the base retainer is a whopping $250,000 a year, and directors can receive GE appliances for their homes.

Of course, there are footnotes to the arrangements: At GE, the $250,000 is paid quarterly and only 40 percent of it is in cash; the rest is in deferred stock units, or DSUs, which are equal in value to a GE share but carry no voting rights. And the appliances are reported as recipient income, based on their fair market value.
