"Scott Harshbarger and Goutam Jois are sending you this draft opinion piece they have done on Sarbanes-Oxley five years later, because of your coverage of and interest in this general topic, as well as some of their prior work. The opinion piece is a partial summary of their point of view detailed in their soon-to-be-published Akron Law Review Article with the same title, a pdf of which is also attached. Your comments are welcome.

The Op Ed attached as a summary of their article says quite simply, that both sides in the corporate governance and ethics debate have it wrong. Regulators are not “out to get” industry, and Corporate America is not replete with “worst practices.” Instead, both sides ought to recognize a common goal – an ethical, competitive corporate culture – and work collaboratively toward it. The discussion is about Sarbanes-Oxley and corporate governance, but with a recent wave of ethical breakdowns, from the U.S. Attorney General’s office to the military hospital fiasco at Walter Reed, the article’s message is as timely as ever."
